
Statute of the non-profit organization Estonian Boardhockey Union
1. General provisions
1.1. The name of the non-profit association is the Eesti Lauahoki Liit (Estonian Boardhockey Union)
1.2. The head office of the Union is established in Tallinn.
2. Purposes
2.1. The purposes of the Association are:
2.1.1. Unite and support the amateur table hockey players for development and popularization of table hockey.
3. Membership
3.1 Individuals and legal bodies who want to support the goals of the Union can become members of the Union.
3.2. The Union consists of at least two members.
3.3. The Board of the Union decides the granting of membership. If the Board declines the application the applicant can appeal to the general meeting.
3.4. Membership cannot be inherited or succeeded. Membership is terminated if individual member is dead or legal body is disbanded.
3.5. A member of the Union has the right to terminate his/her membership by submitting the written application to the Board of the Union.
3.6. The Board of Union decides the termination of membership.
3.7. Member can be expelled from the Union under the decision of the Board based on the following reasons:
3.7.1. The member does not discharge his/her obligations;
3.7.2. The member is causing damage to the honor and/or obligations of the Union.
3.8. Excluded member should be notified about the decision and the reasons for the decision of exclusion immediately.
3.9. Member who was excluded by the Board of the Union can appeal the decision to the general meeting. The general meeting can abolish the decision of the Board.
4. The rights and obligations of the members
4.1. The members of the Union have the following rights:
4.1.1. to attend the general meeting of the Union;
4.1.2. to be elected into the Board of the Union and the Auditing commission;
4.1.3. to get information about the activities of the Union;
4.1.4. to terminate his/her membership by submitting the written application;
4.1.5. to have other legal rights mentioned in the present statute.
4.2. The members of the Union are obliged:
4.2.1. to comply to the present statute, to the decisions and orders of the Board, 4.2.1. the general meeting and the Auditing commission;
4.2.2. to pay in time special fees and the membership fee, the amount and duration of which are determined by the general meeting of the Union;
4.2.3. to attend the activities of the Union.
4.3. Responsibility
4.3.1 Member is not responsible for the obligations of the Union;
4.3.2. Member who has not paid the membership fee is responsible in the amount of unpaid membership fee.
5. Property and activities
5.1. The property of the Union consists of:
5.1.1 entrance fee and the membership fee;
5.1.2. subsidies, inheritances and donation of other persons;
5.1.3. paiments for public and advertising activities organized by the Union;
5.1.4. other profits got from the legal activities of the Union.
5.2. Union uses inheritances and donations given for specified purposes in accordance with the will of testator or donor.
5.3. The property of the Union is used in accordance with the present statute.
5.4. The amount and duration of the membership fee are determined by the general meeting of the Union.
5.5. The increase and decrease of the amount of the membership fee are decided by the simple majority of votes of general meeting of the Union.
5.6. Possible damage caused by the activities of the Union is compensated from the special fees.
5.7. Members of the Union cannot order the property of the Union. Union cannot order the property of its members. The Union is not responsible for the property relations of its members. Members are not responsible for the property relations of the Union.
5.8. The amount of money left in the end of the financial year is transferred to the next year.
6. Management of Union
6.1. The general meeting is the highest form of management of the Association. All the members can take part of it.
6.2. The general meeting has jurisdiction over the following issues:
6.2.1. the changing of the present statute;
6.2.2. the changing of the goals and/or objectives of the Union;
6.2.3. the election of the Board and the revocation of the rights of the members of the Board;
6.2.4. the election of the Audition Commission;
6.2.5. the decisions over transactions of the Board and claims to the Board;
6.2.6. the compilation of the annual business plan and the annual business report;
6.2.7. The amount and duration of the membership fee;
6.2.8. the forming of specified capital;
6.2.9. the supervision over other management of the Union;
6.2.10. the decisions over other issues what are on in competence of other management.
6.3. The Board calls the general meeting into session.
6.4. The members of the Union shall be notified at least seven (7) days in advance before the general meeting is called into session.
6.5. The Board has to call the general meeting into session if at least 1/10 of the members of the Union demand it. Request to call the general meeting into session should be submitted to the Board in written form. If the Board does not call the general meeting into session, the members have the right to call it into session themselves in the same order as the Board.
6.6. The general meeting has the power to decide when more than 1/2 of the members of the Association are attending the meeting.
6.7. If the general meeting has no power to decide the Board calls another session with the same agenda 7 days later. The next general meeting has the power to decide if it consists of more than 2 members.
6.8. The general meeting has the power to decide on issues on the agenda known at advance.
6.9. Decision is made if it was supported by more than half of participants of general meeting.
6.10. Person is elected if he/she has more votes than others. If two persons have equal number of votes they cast lots.
6.11. The statute is changed of the Union is terminated if this decision was supported by the 2/3 of participants of the general meeting or their representatives.
6.12. The changing of the goals of the Union is possible by the votes of 9/10 of the members. The consent of the absent member should be submitted in the written form.
6.13. The Board consists of least two (1) member but not more than five (5) and has the right to represent the Union and take decisions.
6.14. The Board has the jurisdiction over the following issues:
6.14.1. the implementation of the decisions and organization of the activities of the Union, signing of contracts, giving the power of attorney;
6.14.2. the granting, declining and termination of membership;
6.14.3. to make a register of the members of the Union;
6.14.4. to conclude and annul contracts with employees;
6.14.5. to decide over the amount and duration of the employee’s salary;
6.14.6. to represent the annual accounts and the budget to the general meeting;
6.14.7. to decide over the issues what is not in the competence of the general meeting.
6.15. The Board has the power to decide when more than 1/2 of the members of the Board are attending the meeting. The decision is made if more than ? of the participants supported it.
7. Reorganization and termination of the Union
7.1. The liquidation of the Union shall be effected on the proposition of the general meeting or on the decision of the court and is carried out as stated in legislation;
7.2. The liquidators of the Union are the members of the Board.
7.3. After the termination of the Union, when the claims of the creditors have been satisfied, the remaining property of the Union shall be transferred to the other non-profit organization with the similar goals, state or local government.
7.4. When the liquidation is over the liquidators make application to expel the Union from the register.
7.5. The reorganization of the Union is carried out as stated in legislation.
The statute of the Union is approved under the foundation treaty on July 9th of the year 2004.
